Terms of Service

1. Agreement
These Terms of Service ("Terms") form a binding agreement between you and RabbitHole ("we", "us", or "our") and govern your use of the RabbitHole website, applications, and related services (collectively, the "Service"). By creating an account or using the Service you agree to these Terms and to our Privacy Policy.
2. Eligibility
You must be at least 13 years old to use the Service. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.
3. Account and security
You access RabbitHole by signing in through Google. You are responsible for safeguarding your Google account and for all activity that occurs under your RabbitHole account. Notify us promptly if you suspect unauthorized access.
4. Acceptable use
You agree not to:
- Use the Service to violate any law or third-party right.
- Probe, scan, or test the vulnerability of the Service or circumvent any security measures.
- Interfere with the Service or the experience of other users (e.g. flooding requests, scraping at high volume, exploiting bugs).
- Use automated means to create accounts, generate content, or extract data, except for personal use of public APIs we explicitly provide.
- Misrepresent your identity or impersonate another person.
- Use the Service to send spam, deceptive notifications, or content that harasses, defames, or violates intellectual-property rights.
5. Your content
You retain ownership of the goals, tasks, notes, schedules, and other content you create using the Service ("Your Content"). You grant us a limited, worldwide, non-exclusive, royalty-free license to host, store, transmit, display, and otherwise process Your Content as necessary to operate and improve the Service. This license ends when you delete Your Content or your account, except for content already incorporated into backups (which rotate within 30 days) or content we are required to retain by law.
6. Third-party integrations
The Service integrates with Google Calendar, Canvas LMS, OpenAI, and similar third-party services. Your use of those services is governed by their respective terms. Connecting an integration grants RabbitHole permission to act on your behalf as described in the integration's consent screen and our Privacy Policy. You can revoke access at any time.
7. AI features
When you use AI features (the Plan generator, refine chat, or similar), RabbitHole sends portions of your content to a third-party LLM provider (currently OpenAI) and returns the response. AI output may be incorrect, incomplete, or inappropriate. You are responsible for reviewing AI-generated content before acting on it. Do not rely on AI features for safety-critical, legal, medical, or financial decisions.
8. Subscriptions and payments
Some features may require a paid subscription. Pricing, billing cycles, refund terms, and the scope of paid features will be presented at the time of purchase. We may change prices on a going-forward basis with reasonable advance notice. Failure to pay an invoice may result in suspension or termination of the affected account.
9. Termination
You may stop using the Service at any time and may request account deletion as described in the Privacy Policy. We may suspend or terminate your access if you violate these Terms, abuse the Service, or expose us to legal risk. We will give reasonable advance notice when feasible.
10. Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. RABBITHOLE DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.
11. Limitation of liability
TO THE FULLEST EXTENT PERMITTED BY LAW, RABBITHOLE AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL. OUR AGGREGATE LIABILITY UNDER THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE 12 MONTHS BEFORE THE CLAIM AROSE OR (B) ONE HUNDRED U.S. DOLLARS.
12. Indemnification
You agree to defend, indemnify, and hold harmless RabbitHole from any claim, liability, or expense (including reasonable attorneys' fees) arising from your misuse of the Service, your violation of these Terms, or your violation of any third-party right.
13. Governing law and disputes
These Terms are governed by the laws of the State of California, without regard to its conflict-of-law principles. Any disputes will be resolved exclusively in the state or federal courts located in San Francisco County, California, and you consent to the personal jurisdiction of those courts.
14. Changes
We may update these Terms when our product or legal requirements change. The "Last updated" date at the top reflects the most recent revision. If a change is material we will give reasonable advance notice (e.g. via in-app banner or email). Continued use after the change constitutes acceptance.
15. Miscellaneous
These Terms (together with the Privacy Policy and any feature-specific terms presented in-app) are the entire agreement between you and RabbitHole regarding the Service. If any provision is found unenforceable, the remaining provisions will remain in effect. Our failure to enforce a provision is not a waiver of our right to enforce it later. You may not assign these Terms without our consent; we may assign them in connection with a merger or acquisition.
